Terms and conditions

1. Definitions
Provider: Zaminor, sole proprietorship of Milad Ahmadi, CoC 42076823, The Hague, offering the ceoboard service. Customer: the natural or legal person entering into an agreement. Service: the ceoboard platform, an autonomous AI management layer that runs behind the customer's website/systems and supports and automates business processes, with human approval where the configuration requires it. Agreement: the agreement between provider and customer, including these terms.
2. Applicability
These terms apply to every offer, sign-up and agreement regarding the service. Deviations apply only in writing. The customer's purchasing or other terms are rejected.
3. The service
ceoboard is offered as SaaS and runs behind the customer's own website and systems. It operates within the guardrails set by the customer and submits approval-required actions for review. The provider has a best-efforts obligation, not an obligation of result.
4. Account and access
The customer creates an account and is responsible for keeping credentials confidential and for all use via the account. Suspected misuse must be reported without delay.
5. Subscription and payment
The service has subscriptions: Starter (€49/mo), Solo (€99/mo), Pro (€129/mo) and Custom (price on request). Prices exclude VAT unless stated. Billing is periodic and in advance. On late payment, access may be suspended after notice.
6. Term and cancellation
The agreement runs for the chosen period and renews tacitly unless cancelled in time. Cancellation is possible monthly at the end of the current billing period, unless agreed otherwise in writing for Custom. Amounts already paid are not refunded, except where mandatory law provides otherwise.
7. Use and obligations
The customer uses the service lawfully and in line with applicable law. Unlawful content, misuse or overloading, and circumventing the service are not permitted. The customer is responsible for the content and data it provides and for obtaining any required consents.
8. AI output and human approval
The service uses automated and AI-driven processing. AI output may contain inaccuracies. Approval-required actions are only carried out after explicit approval. The customer remains ultimately responsible for reviewing and releasing output before external use. Insofar as the EU AI Act applies, the provider supplies the relevant transparency information.
9. Intellectual property
All IP rights in the service and technology rest with the provider or its licensors. The customer obtains a non-exclusive, non-transferable right of use for the term of the agreement. Data and content provided by the customer remain the customer's property.
10. Data processing
Where the provider processes personal data on behalf of the customer, the provider acts as processor and the customer as controller, set out in a data processing agreement. Processing by the provider as controller is described in the privacy policy.
11. Availability and maintenance
The provider aims for high availability but does not guarantee uninterrupted operation. Maintenance is announced where possible. The service may be suspended temporarily for maintenance, security or legal reasons.
12. Liability
Liability is limited to direct damage and to a maximum of the amount the customer paid in the six months before the event causing the damage. Indirect damage, consequential loss, lost profit or data loss is excluded. These limits do not apply in case of intent or wilful recklessness, or where mandatory law provides otherwise.
13. Changes
The provider may change these terms and the service. Material changes are announced in advance. If the customer does not accept a material change, it may cancel as of the effective date.
14. Governing law and disputes
Dutch law applies to the agreement. Disputes are submitted to the competent court in The Hague, unless mandatory law provides otherwise.
